Guarnera Advogados with Prima Sole in the Acquisition of Batz’s Brazilian Operations

Guarnera Advogados, an brazilian-italic international law firm, supported the italian automotive company Prima Sole Components (Psc) in the acquisition of the Brazilian operations of the Spanish group Batz, specilized in the supply of components for the automobile market.

The acquisition was addressed with he signing on December 2019 and is a result of a complex transaction.

Guarnera Advogados worked with its own M&A team, leaded by Avv. Giacomo, founding parter, and the Brazilian lawyers Anna Lucia Gonçalves and Marco Aurelio Gonzaga da Cunha, both partners of the practice. The financial due diligence was carried out by GSA Advice, under the supervision of Wagner Rapace.

Through its 50 business units around the globe, Prima Sole Components is engaged (in both national and international level) in the production of plastic and thermoplastic components and systems for automobiles (trucks, commercial vehicles and agricultural vehicles), motorbikes and appliances. In particular, the company designs and manufactures assembly system of the components used by its industrial customers.

Prima Sole Group thus consolidates its position in Brazil, after initiating its activities in the country by 2015, through the incorporation of PSMM, a company engaged in the production of plastic components for the automotive sector, with headquarters at Goiana, in Pernambuco State. Such company is owned by Prima Sole Components and Fca (50% by each company) and is a supplier of the FCA manufecturing unit at Goiania, Pernambuco.
